7. Termination 7.1. 8. Governing Law and Jurisdiction 8.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. 8.2. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect. 9.3. Waiver: No waiver by Ring Compass of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Ring Compass to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 9.4.
